Terms & Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the services provided by Pynk Ltd. ("Pynk", "we", "our", or "us"), including our Employer of Record (EOR), contractor management, and benefits administration services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

2. Description of Services

Pynk provides Employer of Record services, under which Pynk becomes the legal employer of workers ("Employees") on behalf of clients ("Clients"). Pynk handles employment contracts, payroll processing, statutory tax and social contribution filings, benefits enrolment, and compliance with local labour laws. The Client retains full day-to-day management of the Employee's work activities.

3. Payment Terms

Fees are charged on a per-employee, per-month basis as set out in the applicable Order Form or pricing page. All fees are payable in advance on the first business day of each billing period.

  • Invoices unpaid after 14 days may accrue interest at 1.5% per month.
  • Fees do not include local statutory employer contributions, which are billed separately at cost.
  • Annual plan discounts apply only when the full annual fee is paid upfront.
  • Pynk reserves the right to adjust pricing on 60 days' written notice.

4. Client Obligations

As a Client, you agree to:

  • Provide accurate and timely information required for payroll, onboarding, and compliance filings.
  • Notify Pynk of any changes to Employee role, compensation, or working arrangements with at least 10 business days' notice.
  • Not direct Employees in a manner that creates a misclassification risk or conflicts with local labour law.
  • Maintain your own data protection obligations toward Employees under applicable privacy law.

5. Intellectual Property

All intellectual property created by Employees during their engagement is assigned to the Client, unless the applicable employment contract specifies otherwise. Pynk's platform, brand, technology, and content remain the exclusive property of Pynk Ltd.

6. Limitation of Liability

To the maximum extent permitted by law, Pynk's total liability to the Client for any claim arising under or in connection with these Terms shall not exceed the total fees paid by the Client to Pynk in the three (3) months preceding the event giving rise to the claim. Pynk shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

7. Data Protection

Both parties agree to comply with all applicable data protection legislation including GDPR and local equivalents. Pynk acts as a data processor in respect of Employee personal data and will process such data only on the Client's instructions. Please refer to our Privacy Policy for full details.

8. Termination

Either party may terminate the Services on 30 days' written notice. Pynk may terminate immediately if the Client is in material breach of these Terms, becomes insolvent, or fails to make payment after a 7-day cure period. Upon termination, Pynk will coordinate Employee offboarding in compliance with local notice period and severance requirements.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
